Khaitan & Co assisted and advised Renesas Electronics Corporation (Renesas) on its joint venture with CG Power and Industrial Solutions Limited and Stars Microelectronics (Thailand) Public Co. Ltd. for setting up an Outsourced Semiconductor Assembly and Testing (OSAT) facility in India.
The role of the deal team included advising Renesas on the regulatory aspects regarding the grant of subsidies/incentives under the semiconductor focused schemes issued by the central government, assisting on structuring of Renesas’ investment into the joint venture entity from an Indian law and tax perspective, reviewing and negotiating the joint venture agreement and other ancillary transaction documents, and advising on other joint venture related issues from an Indian law perspective.
